Hollywood PR Firms Clash: MPRM Sues 42West Over Alleged Hostile Takeover

In a dramatic turn of events in the entertainment industry, MPRM Public Relations has filed a lawsuit against rival firm 42West, accusing it of orchestrating a hostile takeover that has left MPRM reeling. The lawsuit, filed on Friday in California state court, alleges that 42West engaged in a calculated effort to poach MPRM’s senior leadership team, clients, and confidential information, aiming to dismantle the company from within.

The fallout from this legal battle has been swift. Following the departure of nearly half of MPRM’s staff last week, including executive vice presidents Sylvia Desrochers and Caitlin McGee, the firm has seen six major clients terminate their contracts in favor of 42West. This exodus has effectively halted MPRM’s ongoing discussions regarding a potential sale, leaving the company in a precarious position.

Desrochers and McGee were poised to take over MPRM after negotiations to purchase the firm from president Mark Pogachefsky. However, those plans unraveled when Pogachefsky received an offer from his former employees that valued the company at less than 10% of its worth. As a result, he postponed his retirement to explore other bids.

In a startling move, Desrochers informed Pogachefsky that she would be taking high-profile clients, including Disney, National Geographic, and NBC, with her to 42West. MPRM claims that this departure was not only hostile but had been in the works for some time, threatening to destabilize the firm and its existing client relationships.

The lawsuit accuses former MPRM employees of stealing trade secrets and confidential information, including marketing plans and client lists. “It was apparent that their leaving MPRM was hostile, had been in the works for quite some time, and would wreak havoc on MPRM and its existing clients by depriving it of key personnel,” wrote Devin McRae, MPRM’s attorney, in the complaint.

MPRM is seeking unspecified damages and has filed claims for breach of fiduciary duty, misappropriation of trade secrets, and fraudulent concealment, among others.

Meanwhile, 42West, which has a storied history and a roster of high-profile clients, is coming off a successful marketing campaign for Sony’s Demon Slayer: Infinity Castle, which has grossed over $555 million globally. The firm, which was acquired by Dolphin Digital Media in 2017 for $28 million, has yet to respond to the allegations.

This lawsuit marks a continuation of a troubling trend in the PR industry, as rival firms increasingly resort to aggressive tactics to secure clients and talent. Last year, marketing powerhouse R&CPMK filed a similar lawsuit against newcomer 2PM Sharp, alleging a mass departure of employees who conspired to redirect business to their new venture.

As the legal battle unfolds, the implications for both firms—and the broader PR landscape—remain to be seen.
